Terms of Service

1. These terms, and who they are with

These Terms of Service are an agreement between you and Turnkeep, of California, United States ("Turnkeep", "we", "us"). They govern your use of the Turnkeep website and app at turnkeep.app.

By creating an account, or by continuing to use Turnkeep after we publish a new version, you agree to these terms. If you do not agree, do not use the service. Each version is identified by the version tag and effective date at the top of this page.

Our Privacy Policy forms part of this agreement and explains how we handle your information.

2. What Turnkeep is and is not

Turnkeep helps short-term rental hosts document turnover standards for their properties, including areas, reference photos, checklists and periodic tasks, and share those standards with the cleaners and cleaning companies they invite. Cleaners use it to see exactly what is expected and to record that the work was done, with photos. Hosts use it to review the result and track issues.

Turnkeep is a coordination and record-keeping tool only. We are not a party to any cleaning arrangement between a host and a cleaner or cleaning company. We do not employ cleaners, we do not direct or supervise their work, we do not set rates or schedules, we do not vet or background-check anyone, and we do not process payments between users. Any agreement about cleaning work, including price, timing, scope and quality, is solely between the host and the cleaner or company.

Turnkeep does not guarantee cleaning quality, property condition, the accuracy of any checklist, photo or AI comparison, the conduct of any user, or the outcome of any turnover. Hosts remain responsible for their properties and for who they invite into them. Cleaners and companies remain responsible for the work they agree to perform and for the people they send.

Turnkeep is not a booking platform and has no relationship with Airbnb, VRBO, or any other listing service beyond reading a calendar feed you choose to connect.

3. Accounts, roles and eligibility

You must be at least 18 years old and able to form a binding contract to open a Turnkeep account. If you open an account for a business, you confirm you are authorised to bind it, and "you" then means both you and that business.

There are three kinds of account: a host account, for people who own or manage properties; a cleaner account, for people who perform turnover work; and a cleaning company account, for a business that manages a team of cleaners. Your role determines what you can see and do.

You agree to give accurate information, keep it up to date, keep your sign-in credentials confidential, and accept responsibility for everything done under your account. Accounts are personal: do not share one between several people, and do not create an account for someone else without their knowledge.

Notify us promptly at help@turnkeep.app if you believe your account has been accessed without your permission.

4. Responsibilities of each role

Hosts. You confirm you own or are authorised to manage each property you add, and that you may share its photos, access details and other information through Turnkeep. You are responsible for who you invite, for keeping access notes accurate, and for updating or removing them when someone stops working with you. You are responsible for complying with the laws, permits, insurance requirements and building or association rules that apply to your rental.

Cleaners and cleaning companies. You are responsible for the work you accept, for performing it with reasonable care and skill, and for the accuracy of the photos and completion records you submit. Submitting a photo that does not show the area you claim it shows, or marking work complete that you did not do, is a serious breach of these terms. Companies are responsible for the cleaners on their roster and for ensuring they are entitled to work.

Independent relationship. Nothing in Turnkeep creates an employment, agency, partnership or joint venture relationship, whether between a user and Turnkeep or between a host and a cleaner. Hosts and cleaners are responsible for correctly classifying their own working relationship and for any tax, insurance or employment obligation arising from it.

Access information. Entry instructions, lockbox and alarm codes that you see through Turnkeep may be used only for the specific turnover work you were invited to do. You must not record them elsewhere, reuse them, or share them with anyone, including other cleaners, and you must stop using them when the job ends.

5. Acceptable use

Use Turnkeep only for coordinating turnover work between hosts and the cleaners or companies they work with. You must not:

• Upload content that is unlawful, misleading, defamatory, or that infringes anyone's rights, including photographs of people taken without a lawful basis.

• Photograph or store guests' belongings, documents, or anything else that captures a third party's personal information; photograph areas where someone would reasonably expect privacy; or store sensitive personal information about guests, neighbours or anyone else in notes, checklists or photos.

• Use access information for any purpose other than the job you were invited to do, or share it with anyone.

• Send invitations to people you have no genuine working relationship with, or use invitations to spam or harass.

• Attempt to access another user's account or data, probe, scan or disrupt the service, scrape it, circumvent any access control or rate limit, or use automated means to create accounts or submit content.

• Reverse engineer the service, resell or sublicense access to it, or use it to build a competing product.

• Misrepresent who you are, what work was done, or your authority over a property.

We may investigate suspected breaches and take action, including removing content and suspending accounts.

6. Your content and the licence you grant us

You keep ownership of everything you upload, including property details, access notes, reference and completion photos, checklists, task rules, issue reports and invoices.

You grant Turnkeep a non-exclusive, worldwide, royalty-free licence to host, store, copy, adapt (for example to resize a photo) and display that content strictly to operate the service for you and the people entitled to see it, such as showing a host their property records or showing an assigned cleaner the photos and checklists for a property they are connected to. The licence lasts only as long as we hold the content and ends when it is deleted. We do not use your content for advertising, we do not sell it, and we do not use it to train AI models.

You are responsible for the content you upload and for having the right to upload it. We may remove content that breaches these terms or the law.

Feedback you send us about the service may be used freely, without obligation to you.

7. Invoices and payments

Turnkeep lets a cleaner or cleaning company record an invoice to a host for completed turnovers, and lets the host review it. Every amount or status change is recorded with the original value, the change, who made it and when.

Turnkeep does not process, hold, transfer or guarantee any payment. Money moves between you directly, by whatever method you agree. We charge no commission on that work.

The amounts, rates and payment terms are entirely between the host and the cleaner or company. Any dispute about an invoice, or about whether work was performed to the agreed standard, is between those parties. Turnkeep is not an arbitrator and will not adjudicate it, though the records in your account remain available to both sides.

You are responsible for your own tax obligations, including any sales tax, VAT or income reporting arising from work arranged through Turnkeep.

8. Calendar connections

Hosts may connect an Airbnb, VRBO or other iCal calendar feed so that turnovers are created automatically from check-outs. By connecting a feed you confirm you are entitled to share it with us.

We poll the feed periodically and create or cancel turnovers based on what it contains. We cannot guarantee that a third-party feed will be available, accurate, or updated promptly, and a change made in your listing platform may take up to an hour to appear. You remain responsible for confirming your own schedule; treat automatic turnovers as a convenience, not a guarantee.

You can disconnect a calendar at any time. Turnovers already created remain in your account until you cancel them.

9. AI features

Turnkeep can compare a cleaner's completion photo against the host's reference photo using an AI model, and show the host the result. This is described in section 4 of our Privacy Policy.

AI output is advisory only, may be wrong, and is not a professional judgement. It never blocks a job from being completed, it is visible only to the host, and it must not be used on its own as the basis for withholding payment, ending a working relationship, or making any other decision about a person. You are responsible for reviewing the work yourself.

We may change, improve, or withdraw AI features at any time, and we make no warranty about their accuracy or availability.

10. Availability and changes to the service

We work to keep Turnkeep available and reliable, but we do not promise any particular uptime. The service may be unavailable for maintenance, upgrades, or reasons outside our control.

We may add, change or remove features. If we make a change that materially reduces the core functionality you rely on, we will give reasonable notice where we can. Features marked beta or experimental may change or disappear without notice.

You are responsible for keeping your own copies of anything you would not want to lose.

11. Disclaimers

Turnkeep is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure against every threat, or that any particular result will follow from using it.

We make no warranty about any user, including their identity, honesty, skill, insurance, licensing, or right to work, or about the condition of any property. You deal with other users at your own risk.

Some jurisdictions do not allow certain disclaimers; in those places this section applies only as far as the law allows.

12. Limitation of liability

To the maximum extent permitted by law, Turnkeep is not liable for property damage, theft, loss of or unauthorised use of access codes by a user, personal injury, missed or poor-quality turnovers, lost bookings, lost income or profits, loss of data, or any dispute between a host and a cleaner or company. We are not liable for indirect, incidental, special, consequential or punitive damages.

Where we are found liable despite the above, our total liability to you for all claims arising out of or relating to the service in any 12-month period is limited to the greater of the amount you paid Turnkeep in that period, or US$100.

Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or any statutory consumer right you have in your country of residence.

These limits apply even if a remedy fails of its essential purpose, and they reflect a reasonable allocation of risk for a service provided on these terms.

13. Indemnity

You agree to indemnify and hold harmless Turnkeep and the people who operate it from any claim, loss, liability, or reasonable legal cost arising out of your content, your use of the service, your breach of these terms or of the law, or any dispute between you and another user. We will tell you promptly about any such claim and let you control its defence, provided you do not settle in a way that imposes an obligation on us without our consent. This section does not apply where the law does not allow it.

14. Suspension and termination

You may stop using Turnkeep at any time and request deletion of your account by emailing help@turnkeep.app. Deletion is handled as described in the Privacy Policy: access ends immediately and your data is permanently erased within 30 days, apart from limited records we must keep.

We may suspend or terminate an account if you breach these terms, if your use risks harm to another user or their property, if we are required to by law, or if your account has been inactive for a long period. Where it is practical and safe to do so, we will give notice and a chance to fix the problem first. For serious breaches, such as misuse of access codes, falsified completion records, or attempts to reach other users' data, we may act immediately.

On termination your right to use the service ends. Sections that by their nature should survive (content licence for material lawfully retained, disclaimers, limitation of liability, indemnity, and governing law) continue to apply.

15. Governing law and disputes

These terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The state and federal courts located in California have exclusive jurisdiction over any dispute.

If you are a consumer resident in the European Union or the United Kingdom, nothing above deprives you of the protection of the mandatory consumer laws of your country of residence, and you may bring proceedings in your local courts.

16. Changes to these terms

We may update these terms. Each version carries a version tag and an effective date shown at the top of this page.

When we publish a new version, the next time you use Turnkeep you will be asked to review and accept it before continuing, together with a plain-language summary of what changed. Your acceptance of each version is recorded with a timestamp, so there is a clear history of what you agreed to and when. If you do not accept an updated version, stop using the service and you may request deletion of your account.

17. General

These terms, together with the Privacy Policy, are the entire agreement between you and Turnkeep about the service, and replace any earlier version. If any part is found unenforceable, the rest still applies. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these terms without our consent; we may transfer ours to a successor of our business.
